Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of the website, services, and products offered by NIPPRO Elite Recruitment ("we", "our", "us", or the "Business"), a sole proprietorship registered in Alberta, Canada, operating throughout Canada.

By accessing our website, using our services, or engaging with us in any capacity, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services or access our website.

Alberta and Canadian Legal Compliance

As a sole proprietorship registered in Alberta, we operate in full compliance with all applicable Alberta and Canadian laws, including but not limited to:

  • Alberta's Business Corporations Act
  • Alberta's Fair Trading Act
  • Alberta's Employment Standards Code
  • Alberta's Personal Information Protection Act (PIPA)
  • Canada's Personal Information Protection and Electronic Documents Act (PIPEDA)
  • Canada's Anti-Spam Legislation (CASL)
  • Canada's Human Rights Act and provincial human rights legislation
  • Canada's Competition Act
  • Canada's Consumer Protection legislation

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.

Business Structure and Compliance

NIPPRO Elite Recruitment is a sole proprietorship registered and operating under the laws of Alberta, Canada. As a sole proprietorship:

  • The business is owned and operated by a single individual who is personally responsible for all business debts and obligations
  • The business operates in compliance with all applicable federal, provincial, and local laws and regulations
  • The business is registered with Service Alberta and holds all necessary licenses and permits to operate as a recruitment agency in Alberta and other Canadian provinces where services are offered
  • The business complies with all tax obligations under the Canada Revenue Agency and provincial tax authorities
  • The business maintains appropriate insurance coverage as required by law

NIPPRO Elite Recruitment provides recruitment and talent acquisition services, including but not limited to:

  • Executive search and placement
  • Specialized recruitment for various industries
  • Talent mapping and market intelligence
  • Interim management solutions
  • Cross-border recruitment between Canada, the US, and Europe
  • Recruitment consulting and advisory services
  • Cleaning & Maintenance Services recruitment
  • Construction & Trades recruitment
  • Food Service & Hospitality recruitment

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.

User Accounts and Registration

Some portions of our services may require you to create an account. When you register for an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential and secure
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to suspend or terminate your account if any information provided is inaccurate, outdated, or incomplete, or if we believe you have violated these Terms.

User Responsibilities

For Candidates

If you are using our services as a job seeker or candidate, you agree to:

  • Provide accurate, truthful, and complete information about your qualifications, experience, and background
  • Update your information promptly if there are any changes
  • Participate in the recruitment process in good faith
  • Respect the confidentiality of information shared during the recruitment process
  • Comply with all applicable laws and regulations
  • Not misrepresent your identity, qualifications, or eligibility to work in Canada
  • Not engage in any discriminatory, harassing, or otherwise unlawful behavior

For Employers

If you are using our services as an employer or hiring organization, you agree to:

  • Provide accurate information about your organization and job opportunities
  • Comply with all applicable employment laws and regulations, including those related to non-discrimination and equal opportunity
  • Respect the confidentiality of candidate information
  • Use candidate information solely for the purpose of evaluating candidates for employment
  • Pay all agreed-upon fees and charges in accordance with our fee structure and payment terms
  • Comply with all applicable human rights legislation and employment standards
  • Not engage in any discriminatory hiring practices prohibited by Canadian law

Fees and Payment Terms

Our fee structure varies depending on the specific services provided. Fees may be structured as:

  • Percentage of the candidate's first-year salary (for permanent placements)
  • Fixed fee for specific services
  • Retainer fees for executive search assignments
  • Hourly or daily rates for consulting services

All fees will be clearly communicated and agreed upon before services are provided. Unless otherwise specified:

  • Invoices are due within 30 days of issuance
  • Late payments may be subject to interest charges of 2% per month, in accordance with Alberta's Judgment Interest Act
  • All fees are quoted in Canadian dollars unless otherwise specified
  • Payment methods accepted include electronic funds transfer, credit card, and cheque
  • All applicable taxes, including GST/HST, will be added to invoices as required by law

For permanent placements, our standard guarantee period is 90 days. If a placed candidate leaves within this period (except in cases of layoff, restructuring, or other employer-initiated termination not related to performance), we will provide a replacement candidate at no additional fee or a prorated refund, as specified in our service agreement.

Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of NIPPRO Elite Recruitment or its content suppliers and is protected by Canadian and international copyright laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution

Our trademarks, service marks, and trade names may not be used without our prior written permission. All rights not expressly granted in these Terms are reserved.

Confidentiality

During the course of our services, confidential information may be exchanged between parties. All parties agree to:

  • Maintain the confidentiality of all proprietary or non-public information
  • Use confidential information only for the purposes of the recruitment process
  • Not disclose confidential information to any third party without prior written consent
  • Take reasonable measures to protect the confidentiality of such information

This confidentiality obligation survives the termination of our services and remains in effect indefinitely for trade secrets and for a period of five years for all other confidential information.

Our confidentiality practices comply with Alberta's Personal Information Protection Act (PIPA) and other applicable privacy laws.

Privacy

We collect, use, and disclose personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms. By using our services, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

As a business operating in Alberta, we comply with Alberta's Personal Information Protection Act (PIPA) and Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) where applicable.

Limitation of Liability

To the maximum extent permitted by applicable law, NIPPRO Elite Recruitment, its owner, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any conduct or content of any third party on our website
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content
  • The performance or non-performance of any candidate placed through our services
  • Any other matter relating to our services

Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to us during the six months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by law.

Indemnification

You agree to indemnify, defend, and hold harmless NIPPRO Elite Recruitment, its owner, employees, agents, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your misuse of our services
  • Your breach of any applicable laws or regulations
  • Any information or content you submit to us

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. The following provisions of these Terms shall survive termination: Intellectual Property, Confidentiality, Privacy, Limitation of Liability, Indemnification, and Governing Law.

Governing Law and Jurisdiction

These Terms and any disputes or claims arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or our services shall be instituted exclusively in the courts of the Province of Alberta, and you irrevocably submit to the exclusive jurisdiction of such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes and clarifications will take effect immediately upon posting on our website. We encourage you to check this page periodically for any changes. Your continued use of our website or services after any modifications indicates your acceptance of the modified Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or additional terms and conditions or policies published by us on our website, constitute the entire agreement between you and NIPPRO Elite Recruitment concerning our services and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and us with respect to our services.
